Paralegal/Legal Assistant The candidate will manage corporate maintenance matters such as stock and option ledgers. Will prepare draft corporate minutes, resolutions and other board-related materials. Will assist with administration of programs and policies governing executive compensation and use of corporate assets. Will support commercial transactions. Will prepare and coordinate due diligence materials for transactions. Will review/prepare disclosure schedules. Will maintain/create filing systems and other information management techniques for legal matters. Will review/proof documents generally.
The candidate must have 2 years of experiecne. Must be organized and detail-oriented, as well as have excellent communication skills and function well in a fast-paced environment. Must have experience with incorporations, organizations, corporate filings, and corporate transaction documents. Will be responsible for working with attorneys on transactional matters, closings, and new company organizations. Should have strong computer skills including Word, Excel, and PowerPoint. Must have references and a proven track record of top quality work. Should have strong writing and editing skills, including familiarity with drafting and editing board resolutions and ancillary closing certificates to be reviewed by attorneys. Must have ability to multi-task and prioritize tasks appropriately a must.
