Corporate Securities Attorney The candidate will organize private funds (such as hedge funds and venture capital funds), investment adviser entities, managing member entities and general partner entities. Will organize corporations and draft the accompanying documentation for a private offering, including term sheets, stock purchase agreements, stockholders agreements and convertible promissory notes. Draft and review operating agreements, limited partnership agreements, private placement memoranda, subscription documents, investment management agreements, compliance manuals, administration agreements, marketing materials and other ancillary documentation. Draft and review documentation relevant to SEC and state investment adviser registration, such as ADV Parts 1 and 2, Compliance Manuals, and Codes of Ethics. Conduct periodic and event-related filings, including state blue sky registration, Form Ds and NFA exemptions. Represent private funds in ongoing operations, including providing advice concerning regulatory and compliance matters relating to the Investment Company Act of 1940, Investment Advisers Act of 1940, the Securities Act of 1933 and Securities Exchange Act of 1934. Cultivate and maintain positive and professional relationships with internal staff and clients. Bachelor s degree and Juris Doctor degree is required. Must have passed the Uniform Bar Examination. Strong time management, attention to detail and organizational and computer skills, including knowledge of Outlook, Word, Excel and PowerPoint. Relevant internship experience in a corporate department or law firm is preferred. Experience or knowledge of Securities Law, cryptocurrency and blockchain technology would be an asset.
