Paralegal Business Law/Corporate Transactions Candidate will provide support to attorneys with corporate transactional matters, including entity formations, mergers and acquisitions, securities offerings and corporate compliance. Responsibilities will include preparation of entity formation packages, assembly and maintenance of electronic corporate records, preparation of stock ledgers and related documents, management and organization of transaction documents and client data rooms, compilation of transaction closing binders, searches across public records, preparation of Securities and Exchange Commission filings, due diligence in support of transactions, audit responses, and related duties. Candidate must have 3+ years of paralegal experience, with a Bachelor's degree and/or paralegal certification a plus. Other required skills include: demonstrated organizational and analytical abilities; knowledge of corporate law and business regulations; strong communication skills, advanced writing ability to convey clear, concise information; high level of motivation; ability to work independently and as an integral part of a dynamic team. Must have advanced computer software skills, a strong work ethic and ability to demonstrate follow-through in completing projects and meeting tight deadlines.
