Paralegal (Lending/Real Estate) Duties: Assist attorneys in the Corporate Department and Real Estate Practice Group in all stages of lending and real estate matters and transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities. Review term sheets and draft commitment letters. Create and manage closing checklists, including preparation and circulation of regular closing status updates. Prepare initial draft loan documents. Manage due diligence files; review due diligence items and save to the system; update checklists. Review leases for pertinent closing information. Review title commitment and survey and draft comment letters. Order and review UCC lien searches and federal and state tax and judgment lien searches. Draft and file UCC financing statements, fixture filings, amendments, continuations and terminations. Communicate with clients, title companies, brokers, local counsel and other third parties throughout the transaction. Confirm completion of all checklist items and receipt of all loan documents. Obtain and deliver signature pages; prepare fully-executed documents, attaching exhibits. Organize and send original loan documents to title companies and clients; review closing statements; prepare invoices; obtain wire instructions, send to client, and follow-up regarding closing payments. obtain and send recorded documents and final title policies to client; create and circulate closing transcripts. General real estate responsibilities, including survey and title review and document preparation. Alcoholic beverage licensing process including applications and notices. Application preparation for real estate title and lien. Prepare transactional/real estate closing documents. WBE/MBE applications and associated corporate governance, including annual meeting consents and entity formations. Coordinate and attend/manage transactional/real estate closings. Plan and coordinate meetings and appointments; keep track of multiple calendars. Manage communication, internal and external. Compose and edit correspondence, presentations and other documents. Draft memos, letters and documents pertaining to entity formation, mergers, and resolutions, as well as coordination of corporate minute books and registered agent matters and preparation and submission of filings with Secretaries of State and County recorders. Prepare and file SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings, including but not limited to Form 4s and Form Ds. Complete and file SS-4 forms with the Internal Revenue Service. Notice list preparation (i.e., use of government databases to obtain property information and ownership information). Qualifications: Bachelors or Associates Degree plus. Paralegal Certification, or equivalent combination of education and experience. Should preferably have 5+ years of experience as a paralegal in the lending/real estate areas. Knowledge of ethical boundaries of position and when to consult with an attorney. Thorough understanding and knowledge of lending and real estate work. Excellent oral and written communication skills, attention to detail, and organizational skills. Must have superior organizational skills and accuracy. Excellent problem solving and people skills. Proficiency in Microsoft Office products and a high level of technical skills. Demonstrated analytical ability and initiative. Ability to set priorities and exercise independent judgment.
