Corporate Paralegal (Mid-Level) Duties: Independently manages closing logistics for small to mid-size transactions; demonstrates an understanding of common types of transactions such as mergers, debt financings, bridge financings, preferred stock offerings, IPOs and raising private investment funds; drafts supporting certificates and schedules as directed by attorney; coordinates distributions of large document productions; develops system for tracking delivery of documents; able to evaluate common problems encountered in transactions and correct with minimal assistance; forms appropriate opinions after consideration and deliberation. Understands life cycle of corporate entities; drafts amendments to charter documents and entity conversion documents; assists in the drafting of related entity documents for corporations, limited liability companies, limited partnerships, and business trusts. Understands common SEC and state filings for a variety of entities (e.g. private companies, trusts, mutual funds, public companies); demonstrates familiarity with common exemptions and their application with the SEC and various states. Assists in tracking of annual and follow-on filings; can perform basic research into an appropriate exemption in connection with filings. Performs public searches of all kinds, including federal and state lien searches, financing statements, and secretary of state records; prepares summary charts; obtains status certificates and certified copies of documents from state and federal agencies; understands the importance of communication in relation to deadlines for ordering and obtaining documents. Works independently to complete and file various forms with the Internal Revenue Service, including forms 1023, SS-4, and 8832. Participates in hiring by conducting interviews and advising on hiring strategy. Knowledgeable of industry-specific journals, websites, and materials published for specialty; recognizes need to stay current with trends. Coaches and guides attorneys and colleagues as to the utilization of paralegals. Qualifications: A bachelor's degree from a top-ranked institution. Must demonstrate the ability to maintain strict confidentiality of the firm's internal and personnel affairs. Ability to interact effectively with all levels of personnel, including management and support staff. Ability to be a proactive self-starter, who understands the details within a much larger context. Must be flexible in order to respond quickly and positively to shifting demands and opportunities; ability to work under tight deadlines and handle multiple, detailed tasks. Must be team-oriented and able to share information, goals, opportunities, successes, and failures with the appropriate parties. Ability to plan, organize and carry out multiple related activities. Ability to work in a multi-office environment. Ability to influence at all levels of the organization. Ability to work effectively in a culturally and educationally diverse environment. Must pay attention to details and have the ability to follow up and follow through.
