Corporate Paralegal Key Responsibilities and Deliverables: Assist with transaction closings; maintain files, create closing indices and coordinate closing details. Assist with comfort letters. Assist with Section 16 filings. Assist with stock plan and stock options administration including transfers, other stock and equity award administration matters, related documents, and SEC filings. Work with attorneys on technology and emerging and public companies clients. Entity formation and corporate governance, assisting attorneys with various corporate transactions including M&A, venture capital and securities offerings. Organization and maintenance of various corporate entities such as corporations, partnerships, limited liability companies, and limited liability partnerships. Conduct due diligence investigations, on-line research of legal and non-legal data. Conduct research on state and federal securities laws and prepare Blue Sky filings. Maintain correspondence with clients. Responsible for departmental billing. Maintain and organize document data bases on firm intranet. Prepare binders and CD closing sets of completed transactions. Proofread documents, including definitions and cross-reference checks. Organize files using different databases. A Bachelor's degree required. 5+ years of paralegal experience. Ability to work overtime as required. should be able to support the delivery of high-quality legal services to clients by performing technical and clerical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills. Knowledge of research databases, including Lexis and Westlaw are required. Must have strong proofreading ability, excellent attention to detail.
