We do not need to tell you that as a very successful Arizona firm the people here do appear to work very hard and we hate to say it but we will: Many are working New York type hours. The firm also has been criticized in many respects for its lack of diversity; however, we do not believe that this is a serious problem because the firm's recent hires have all been very diverse in our opinion. The firm also receives very high scores for the treatment of associates by partners and there does appear to be a very good relationship here between associates and partners with associates feeling they are part of the mix to a great degree and respected by partners. Most associates at this firm would much rather stay with the firm than switch firms. In our book this is a good sign.
Mergers and Acquisitions Paralegal The candidate will prepare basic corporate organization documents including initial stock subscription agreements, stock certificates and stock ledger. Draft and file certificates of incorporation and certificate of formation. Draft written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters. Compile and maintain closing binders, minute books and stock ledgers. Conduct research to assist attorneys in determining jurisdictions for qualification. Prepare and file qualification and withdrawal applications. Order lien searches and summarize lien search results. Prepare and file statutory filings with the various Secretaries of State, including annual reports, amendments, conversions, mergers and dissolutions. Interface with corporate service providers regarding statutory registered agent services (including changing contact information) and statutory filings. Draft written consents approving closing agreements. Draft certificates including secretary and officer certificates. Prepare and file UCC statements, amendments and termination statements. Review collateral description on lien summary. Assist with closing, including tracking down signature pages, filling in dates, tracking down final agreements and providing general support. Prepare PowerPoint presentations and corporate structure charts. Maintain positive contact with clients and observes confidentiality of client matters. Must have 3 years of recent experience as a corporate/finance paralegal. Should have a bachelor s degree. Paralegal Certificate preferred.
