Corporate Paralegal Duties: Prepare and file business entity formations, qualifications, dissolution, and withdrawals. Assist with document preparation, due diligence, and closings for M&A transactions. Prepare and coordinate timely and accurate annual report filings and charts. Create, organize and maintain corporate minutes, corporate minute books, and electronic corporate records. Assemble Closing document binders for clients. Conduct UCC and Federal tax lien searches and prepare search result reports. Work with attorneys and clients to manage and assemble Disclosure Schedules for asset or stock purchases. Prepare and file IRS Form SS-4 to obtain employer identification number. Complete investment questionnaires and comply with due diligence requests for various client investments. Assist with organization of closing documentation. Interface and serve as firm contact with third-party registered agents; interface with firm attorneys relating to registered agent communications and notices. Maintain electronic versions of all minute books using pdfs of executed documents. Maintain hard copy files of all transactional documentation relating to each entity. Maintain up-to-date time reports to ensure accurate client billing. Qualifications: Bachelor's degree and 5+ years related experience preferably in a law firm environment; or equivalent combination of education and experience. Corporate experience is strongly preferred. Computer proficient with experience and working knowledge of Westlaw and other corporate-related databases, Internet research, due diligence, Excel, Outlook, and MS Word preferred. Applicable knowledge in setting up domestic and foreign corporations, partnerships, limited liability company laws, and required filings. Familiarity with general IRS requirements and other related government agencies preferred. Exhibit high degree of initiative with excellent analytical, technical, and critical-thinking skills requiring an aptitude for detail, precision, and logic in order to analyze and research probate trust/estate data, process information, conduct legal research, and perform essential duties. Excellent organizational skills including record keeping, data collection, and system information. Ability to compile and analyze complex data and furnish concise, detailed information in report format, written correspondence, e?mail, or verbally. Proficiency with DocuSign and electronic Document Management programs such as DropBox and SimplyAgree. Excellent interpersonal, verbal, and written communication skills. Ability to communicate with courtesy and diplomacy, efficiently follow written and verbal instructions, and maintain effective relationships with a diverse group of attorneys, clients, staff, and outside contacts. Ability to perform mathematical calculations and apply mathematical concepts when computing, reconciling balances and verifying numerical data on forms and documents. Ability to operate standard office equipment including computer, laser printer, telephone, photocopier, calculator, scanner, facsimile, etc.
