Corporate Staff Attorney, Investment Management Candidate will work for international Investment Management practice. Responsibilities will include: Draft, review and revise operating and partnership agreements, investor subscription documents, investment advisory agreements and side letters. Prepare Transfer and Non-Disclosure Agreements, including negotiating terms and turning comments. Assist with fund-raising process and closing processes. Review and prepare regulatory and compliance documents, including Know Your Client, consent and election forms. Prepare structure charts, board presentations, resolutions and side letter compendiums. Conduct operational and legal due diligence. Communicate and interact with clients, partners, associates, staff, investors and investors representatives. Identify and relay issues to senior attorneys for resolution. Develop practice area knowledge, assist with business development efforts and contribute to training sessions. Requirements: Active member of New York State Bar in good standing. 3.5 GPA and/or relevant work experience. Excellent interpersonal and communication skills, professional manner for client interactions. Ability to take ownership of discrete projects and be able to work without direct supervision. Strong attention to detail and organization skills. Ability to work under pressure and to meet deadlines, both on own and as part of a team. Must be admitted in New York, are members of the firm s administrative staff and are trained to become integral members of deal teams. Will demonstrate an entrepreneurial approach, possess a strong sense of ownership and be able to work in an independent manner among a group of high performing professionals. Prior related experience is preferred, but recent law school graduates with an interest in joining one of the world s largest global private equity funds practices are encouraged to apply. Preferred: Investment management experience, ideally in a large law firm or financial institution.
