Corporate Paralegal The candidate will be performing basic public company governance tasks, such as Section 16 reporting and Rule 144 and 701 legend removal letters. Assisting with D&O Questionnaires, annual and quarterly reports, and proxy statements. Assisting in preparing registration statement, including beneficial ownership table and back-half information of registration statement. Handling transfer agent onboarding and being key contact for transfer agent. Preparing EDGAR Code and stock exchange applications, FINRA filings, stockholder documents, and board and shareholder actions. Compiling and distributing closing documents and closing volume. Assisting with due diligence process. Helping with securities and state filings. Assisting with communications to clients and holders. Prior experience as corporate paralegal, working with private and public companies. Must have strong working knowledge of corporate tasks of private and public companies. Should have experience with securities and corporate laws, especially 33 Act and 34 Act. Must have experience in capitalization management platforms such as Shareworks and Carta. Must be proficient with Excel spreadsheets. Must have Bachelor's Degree or Paralegal Certificate.
