This mid size Orlando office maintains a full service civil law practice. The is organized into the following areas: litigation, health law, communications and media, employment and labor, tax, personal planning and employee benefits, securities and public offering, real estate, and business and corporate office. Corporate Paralegal The candidate will assist in the formation and licensing of the new client entititle. Manage the Board and stockholder books and capitalization ledgers for client entities. Assist in the preparation of Board and stockholder consents and minutes for client entities. Manage the state corporate filings for client entities. Prepare stock certificates. Manage the Regulation D and Blue Sky filings for client entities. Assist with annual stockholder meetings and prepares notices, proxy materials, ballots, affidavits of mailing, and agendas for annual and special meetings of stockholders. Review entity organizational documents and drafts certificates certifying the same. Prepare stock option agreements, restricted stock agreements, and other equity compensation agreements and grant documents. Assist in the closing of financings and strategic transactions. Prepare and files annual reports, notices of changes of officers, directors, and related corporate information in the jurisdiction of incorporation and in foreign jurisdictions in which the corporation is qualified to transact business. Prepare and reviews complex transaction binders. Coordinate various aspects of closing, including assembly and preparation of documents for signature, closing arrangements, and distribution of closing materials. Act as a point of contact for the client. Other duties and responsibilities may be assigned. Bachelor's degree is required. Should have 5+ years of experience; equivalent combination of education, training, and experience may substitute for education requirement. Demonstrated proficiency in Microsoft Office Suite including Word, Outlook, and Excel.
