Paralegal - Corporate Law The candidate must possess advanced skills on corporate law matters relating to entity formation, mergers and acquisitions, and contracts, assist with many aspects of corporate transactions, such as the preparation and filing of corporate formation and dissolution documents, and entity foreign qualifications relating to corporations, limited liability companies, and partnerships, including name reservations and fictitious name permit applications, maintenance of corporate records/minute books, issuance and redemption of stock, maintenance of stock ledgers, and related corporate governance of entities such as annual meetings and filings. Will also assist with, and be an integral part of, M&A due diligence including to, organizing e-rooms and/or document management, preparation of and management of pre- and post-closing documents, creation and maintenance of signature pages and closing checklists, preparation of closing binders, prepare, format and redline large corporate documents such as purchase and sale agreements, ancillary documents, and the like. Must possess excellent skills at proofreading, spelling and grammar, and be able to prepare and format professional correspondence, memos and legal documents. Assist with administrative and secretarial duties such as time entry, billing, engagement letters, transmittal correspondence, calendaring of appointments, and other duties as assigned. Must have at least 5 years of corporate paralegal experience.
