Corporate Paralegal The candidate will Manage annual reporting process, file annual reports and forward annual reports to departing clients or attorneys. Prepare annual minutes. Maintain and update the annual report filing ticklers using Corporate Focus database. Upload minute book documents into the Corporate Focus database. Perform duties related to the formation of new entities; draft organizational, incorporation and formation documents such as Articles of Organization, Operating Agreements, Consents and Create minute books for newly formed entities and upload formation documents to Corporate Focus database Prepare foreign qualifications, withdrawals, amendments. Draft consents approving various resolutions, such as election of officers/directors, dividend distributions, resignations of officers/directors. Issue stock certificates and maintain stock ledgers. Perform stock transfers. Prepare cap tables. Prepare corporate data sheets. Manage clients annual liquor and gambling licensing. Implement and manage retiring shareholder process, including preparation of disengagement letters and related documentation. Manage registered agent process, including change of registered agent forms and transfer of registered agent responsibilities. Manage/oversee minute book room, including performance of tasks related to minute book chain of custody, minute book security, VP Records process for minute book checkout and check-in, organization and audit of minute books, and delivery and retrieval of minute books. Interface with corporate service companies to change contact information.Prepare, manage and oversee all of Vedder Price s entities corporate documents and filings. Assist on transactions if necessary. Strong research and writing skills are essential. Ability to work under pressure on time-sensitive projects are essential. Ability to multitask are required. Ability to work independently are required. High level of attention to details are required. Certificate from an ABA-approved paralegal training program preferred. Knowledge of Microsoft Windows including Word, Outlook and Excel are required. Proficiency using the Internet for fact research are required. 5 years of experience involving transactional and corporate maintenance matters are essential.
