Business and Litigation Paralegal The candidate will dDevelop familiarity with rules and regulations related to state and federal health care programs. Develop policies and procedures to support compliance for healthcare entities. Identify business and legal risks in contracts; redline provisions as requested. Develop and manage contract processes to track transactions from beginning to end. In this role you will have the opportunity to propose innovative solutions to streamline the contract process. Assist attorney in reviewing and drafting written agreements for a variety of transactions. Coordinate delivery and collection of signature pages. Prepare and generate, accurately and in a timely manner, commercial contracts and related documents with a variety of entities, including, master agreements, amendments, statements of work, and NDAs from existing forms ad update existing forms, as requested, and initiate amendments. Form and dissolve corporations and other business entities. Maintain a process for ensuring the completeness of the execution process and electronically filing all final, executed documents. Review contracts for risk management and service needs including compliance with predetermined guidelines, including indemnity/liability, early termination on contracts with high support costs, penalty clauses, and payment terms. Escalate all items that require approvals for deviations from standard terms. Organize documents, including pleadings, discovery, and related information. Prepare product liability litigation files and employer notebooks. Calendar court trials, assist with deposition prep, keep up with testimony, exhibits, scheduling of witnesses and attorney(s) needs. As needed, conduct factual research: cull relevant information from a variety of resources, such as newspapers, magazines, libraires, case, documents, trade associations and the internet. Prepare correspondence and reports, including routine letters, memos and various other documents and forms. As needed, coordinate mailings, including filings with state and federal courts and agencies. Establish and maintain dual calendar system and deadline reminder systems. Apprise attorney of responsibilities in advance of commitment. Ability to handle large case management. Knowledge of legal principles and practices at a level normally acquired through formal paralegal training or equivalent on-the-job training and experience (3+ years) as a business and civil litigation paralegal required. Good organizational skills and be detail oriented required. Computer literate and proficient working with Word, Outlook, Excel, Powerpoint, and the ability to understand and utilize computer equipment and other software required. Excellent interpersonal skills and the ability to effectively communicate and follow instructions with courtesy and tact required. Accuracy and word processing at a level of at least 70 words per minute required. Ability to organize and prioritize numerous tasks and complete them under time constraints required. Excellent written and verbal skills required. Proficient working with document review software such as NetDocs, project management software such as Basecamp, litigation management software such as the CaseMap suite (CaseMap, TimeMap, TextMap etc) preferred. Notary certification preferred.
