Paralegal - Transactional/Business Duties: Responsible for assisting attorneys in all areas of corporate transactions. Prepare and file formation and other documents with the Secretary of State. Prepare company records for corporations and limited liability companies. Maintain existing corporate records (e.g. file annual reports with the appropriate agency and prepare meeting minutes). Prepare and file deeds and other real property documents with the County Recorder. Prepare shareholder agreements, operating agreements, stock sale agreements, promissory notes, and stock pledge agreements for attorney review. Audit and review corporate records and advise on compliance. Assist attorneys with implementing policies, processes, and procedures for the department. Manage work flow on all corporate/transactional matters. Monitor paper and electronic corporate records books (including drafting of meeting minutes, shareholder agreements, and bylaws). Calendar and manage all corporate deadlines. Assist clients to obtain and maintain their contractor s license with CSLB. Prepare and file UCC-1 statements. Bill time pursuant to firm policy. QUALIFICATIONS: 5+ years experience in corporate/transactional law. Estate planning, real estate, and/or litigation experience is helpful. Prior experience working with the County Recorder, Secretary of State, Contractors State License Board, Franchise Tax Board, and IRS is helpful. Knowledge of HotDocs, SmartDraw, DocEdge, Westlaw, ConsensusDocs, AIRCRE, and WealthCounsel is helpful. Must be detail oriented, have strong computer skills and exceptional organizational skills (including the ability to multi-task). A positive attitude, who is flexible, likes a variety of assignments, is proactive, not afraid to learn new programs, and enjoys a busy workload. Ability to handle a heavy workload including document preparation, formatting, and editing. Excellent communication skills (verbal and written). Multi-task in a fast-paced environment while still maintaining quality. Knowledge of Word, Outlook, Adobe Pro, Excel, document management systems, and internet, with the ability to implement the firm's style guidelines and procedures. Detail oriented and astute research skills. Team Player.
