Corporate & Finance Paralegal The candidate will assist with all aspects of corporate entity work including the formation, maintenance, governance, and dissolution of same. Assist with mergers, acquisitions, and dispositions as necessary. Assist attorney(s) with maintenance of corporate records and corporate and finance transaction closings. Prepare and file foreign qualification documents. Prepare Uniform Commercial Code (UCC) financing statements and UCC financing statement amendments. Initiate's lien searches and prepares summaries thereof. Draft of resolutions, stock certificates, basic operating agreements, and similar corporate records. Prepare closing agendas and files for transactions. Assist with private placement transactions, including documentation of subscriptions and blue sky and SEC filings. Assist with online and in-person notarizations. Conduct legal research and drafting as requested. Complete special projects and other assignments as requested. Associate's Degree in Paralegal Studies, Paralegal Certification from OSBA or equivalent experience is required. Should have 3+ years of relevant work experience in either a law firm or corporate legal environment handling broad corporate / business transactional matters. Experience in securities is preferred.
