Corporate Associate Attorney The candidate should have 3 years of experience. The position will focus on all varieties of corporate, transactional and regulatory work. Will have a breadth of experience across many areas of corporate and transactional law, as well as experience working in the regulated marijuana and/or hemp industries. Work closely with other attorneys and paralegals, both within and outside of the core corporate practice group, on a variety of subject areas, matters and projects, including: entity formation, including corporations, limited liability companies and partnerships, and drafting related organizational documents; stock purchase/subscription agreements, stockholder agreements, voting agreements, and other ownership agreements; general contract drafting, review, analysis, and negotiation, including supplier agreements, vendor agreements, consulting agreements and licensing agreements; equity and financing transactions, including preferred stock and convertible debt transactions; mergers & acquisitions, joint venture and other strategic transactions; preparation of financing disclosure documents, including private placement memoranda; knowledge of corporate and securities laws and related compliance; corporate governance.Regulatory experience preferred: hemp, marijuana, FDA, USDA is required. Experience structuring and executing investment funds a plus. Should have Juris Doctor from an accredited law school. Must have 3 years of post-graduate legal experience at a law firm, in-house, or a combination, with significant experience in the practice areas listed above. Experience working in the marijuana and/or hemp industries strongly preferred; experience working in other highly regulated industries also desirable. Must be licensed to practice law in Colorado or be eligible to become licensed.
