Real Estate / Corporate Finance Paralegal The candidate will originate certified articles/formations and good standing certificates; Draft bylaws, operating agreements and partnership agreements; Create organization/flow charts; review entity organization documents for preparation of resolutions, consents, incumbency certificates, SNDA, lease guarantees, lease guarantees, guarantees, notes, indemnity agreements, and other related legal documents; run redlines and compare documents; Draft UCC financing statement, amendments, assignments, terminations and coordinate filings; Prepare assembly of closing binders for distribution including electronic versions and hard copies; Copy/scan legal documents by mail; prepare correspondence for clients; Prepare closing instructions and closing binders and general management of loan closing process; maintain loan closing files, handle original loan documents; Prepare and finalize AIR/AIA contracts; Prepare initial drafts of loan documents based on loan commitment; review status of title and prepare lender's fee and leasehold title insurance policies (pro forma) in conformity with lender requirements in California and multistate transactions; Review ALTA land surveys and work with the surveyor to obtain a survey which conforms to lender requirements; review and obtain borrower organization and authorization documents in conformity with lender requirements; Prepare initial lease or amendment drafts based on a term sheet; review status of title and prepare leasehold owner's title insurance policies (pro forma); prepare tenant lease and ground lease abstracts. The candidate must have Bachelor's degree. Should have ABA Approved Paralegal Certificate. Must have 3-5 years of paralegal experience with a significant California law firm. Should have substantial experience in corporate/finance due diligence, as well as real estate experience. Experience with the following programs: Microsoft Word, Excel, PowerPoint, Outlook, Dropbox required. Should have proficient in handling purchase and sale transactions. Proficient in handling mortgage loan closing transactions are essential. Must have experienced in leasing matters.
