Paralegal The candidate will assist with filings of registration statements Form N-1A pursuant to Investment Company Act 1940. Will review EDGAR filings (Prospectuses and Statements of Additional Information) prior to filing with SEC. Maintain Private Equity Fund intranet. Assign Annual Shareholder Reports and annual updates to review teams and track progress. Assist with private equity fund formation, including the maintenance of side letter and investor trackers. Prepare and file formation documents for various business entities, including qualifications, amendments, and dissolutions. Interface with corporate service companies to file and retrieve documents from various states. Assist with drafting closing documents and signature packages. Coordinate post-closing activities: follow up to obtain all post-closing items; prepare and maintain extensive files; and ongoing projects within the department. Assist with producing stock certificates. Work with clients to obtain Employee Identification Numbers. Prepare audit letters. Organize and attend meetings; and maintain clients' Outstanding Items List. B.A./B.S. degree is required. Must have impeccable writing and communication skills, excellent attention to detail, strong organizational skills and ability to multitask. Should have proficiency with MS Word, Excel and Outlook and PowerPoint.
