This large international New York law firm founded in 1934 has established a full-service presence. Clients include large corporations and individuals as well as small and medium-sized businesses. The firm represents a wide range of industrial, financial and commercial enterprises, both publicly and privately held. Firm lawyers represent clients in every state as well as numerous foreign jurisdictions. The firm is organized by legal specialization: corporate, e-commerce, employee benefits, estate planning, government and regulatory affairs, health law, intellectual property, international, litigation and tax. This firm offers competitive salaries and many firm lawyers also practice interdepartmentally distinguishing them from many other large law firms.
Transactional Paralegal The candidate will be responsible to assist with drafting agreements, schedules, certificates and related closing documents. Manage closing checklists and closing conditions for financing transactions. Attend and assist attorneys and clients with transactional closings. Organize closing documents and signature pages and notarize/coordinate with notaries. Draft Uniform Commercial Code (UCC) financing statements, terminations and other documents; perform and summarize state and local lien searches. Prepare formation documents (corporations, LLCs, LLPs, etc.) and file materials with the applicable state(s). Draft organizational documents such as resolutions, bylaws and certificates. Prepare corporate minute books, stock certificates and transfer instruments. Maintain and update form files for the Los Angeles offices transactions group. Perform transactional and regulatory due diligence; create and manage electronic due diligence data rooms. The candidate must have a Bachelor's degree, 1 or more years of related work experience. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word) is required. Knowledge of Adobe Acrobat (including document compiling, editing, redacting) is essential. Must be highly motivated self-starter with strong organizational, time management and communication skills. Must have ability to work under tight deadlines and prioritize responsibilities and multi-task across multiple projects. Must be interested in working in a team environment and willing to work flexible and/or fluctuating hours.
