Public Finance/Real Estate Paralegal The candidate will prepare first drafts of basic and complex documents, including resolutions, trust indentures, loan, and real estate documents, offering and bond purchase documents, credit enhancement documents and liquidity facilities, and closing documents and opinions; revise the same at the direction of department attorneys. Coordinate distribution of multiple documents to clients and other interested parties. Prepare and review due diligence checklists and monitor the status of delivery of due diligence. Prepare closing certificates, opinions, UCC financing statements, document exhibits, and closing memoranda and assist with document assembly. Coordinate required filings with federal, state, and local regulators and administrative offices, including, without limitation, IRS filings and secured transaction filings. Facilitate and coordinate closings, including monitoring and confirming the execution and completeness of all financing and closing documents. Prepare closing transcripts. Monitor critical transaction dates and maintains master practice group transaction status and closing schedule. Develop and maintain databases of related offerings. Handle routine correspondence and client inquiries. The candidate should preferably have a Bachelor's degree or paralegal certificate from an ABA-approved institution. Must have 5-8 years of experience in a public finance and/or real estate law practice. A notary public license is desired. Excellent and proven analytical and organizational skills. Must have the ability to pay close attention to detail and follow up, be flexible, multi-task, and prioritize workflow, think independently and meet critical deadlines, work and collaborate effectively and professionally with colleagues, clients, and other transaction participants, coordinate with multiple parties in connection with transaction closings, communicate both verbally and in writing in a clear and concise manner, assume ownership of assigned tasks, as well as work with numbers and calculations. Must have demonstrated proficiency in computer skills, including knowledge of MS Office and other transaction facilitation software.
