Corporate Paralegal The candidate will work closely with attorneys in the lending, special workouts, M&A and bankruptcy departments and have opportunities for direct contact with partners and clients. Day-to-day work will include coordinating the closing of transactions, drafting, filing and researching Uniform Commercial Code (UCC) statements and producing initial drafts of certificates and resolutions. Organizes due diligence materials, working with vendors and counterparties. Drafts and updates closing checklists. Drafts and reviews ancillary documents for various transactions. Prepares initial drafts of UCCs, orders and reviews liens and other searches. Communicates with clients, counterparties, agents and third parties regarding the ongoing transactions. Obtains and organizes signature pages. Coordinates the closing of transactions. Prepares closing sets. Must have excellent document production skills (typing, spelling, grammar and punctuation) as well as strong interpersonal, analytical, research and writing skills. Knowledge of business and legal practices at a level normally acquired. Must have a Bachelor s degree, formal paralegal training, or equivalent job experience. Should have 1+ year of transactional experience. Prior large law firm experience and lending experience is preferred. Excellent written and oral communication and interpersonal skill is required. Experience in debt trading will be advantageous.
