Transactional Paralegal Duties: Prepare legal documents and correspondence for attorney. Preparation of commercial loan and closing documents. Drafting and monitoring closing checklists. Overseeing and organizing commercial loan files from commitment through closing. Reviewing title reports, surveys and organizational documents. Facilitating communication between all parties of transaction, including lenders attorneys, title companies, etc. Prepare corporate documents for form corporations, partnerships and limited liability companies. Completing stock certificates and franchise forms. Creating and maintaining corporate minute books. Preparing documents necessary to comply with federal, state and local regulations to conduct business activities. Secure signatures on contracts and documents such as power of attorney forms, estate documents, assignments and declarations. Perform other paralegal duties and special projects as may be assigned. Requirements: Paralegal certificate or Degree. 5 years of prior experience with complex commercial contracts, compliance and drafting legal correspondence. Strong working knowledge of Microsoft Office (Outlook, Word, Excel). The ability to work in a fast paced environment. Complete discretion and ability to work with confidential information. High level of initiative and the ability to work independently. Positive, pro-active, professional attitude. Excellent attention to detail. Strong communication and organization skills.
