Corporate Paralegal Duties: Provide assistance to attorneys and senior paralegals in researching law, preparing documents, and servicing clients. Functions specific to Financial Services group include providing general legal support to attorneys and clients in the formation and maintenance of corporate entities, partnerships and limited liability companies. Prepare organizational documents including articles of incorporation, bylaws, organizational resolutions and stock certificates. Prepare amendments and dissolution materials for corporate entities. Create and maintain corporate minute book. Prepare and file application for federal employer identification number. Prepare and file election by a small business corporation. Prepare registration documents to qualify companies as foreign business in other jurisdictions. Draft and file annual reports with domestic and foreign jurisdictions. Prepare UCC financing statements and amendments. Order lien searches and review and summarize lien results. Create and manage client extranet sites. Anticipate attorney needs. Engage in interaction and build relationships with clients. Independently handle all key duties without supervision of another Paralegal or Senior Paralegal. Attend and participate in internal CLEs. Meet annual billable hour requirement of 1500 hours. Qualifications: Associate's degree required; Bachelor's Degree and/or Paralegal Certificate from ABA approved program preferred. 3-5 years related paralegal experience; experience in financial services or corporate practice preferred. Significant, substantive legal related experience may be considered in lieu of formal education Detail oriented. Ability to work well under pressure, multi-task efficiently and be an independent thinker. Ability to interact effectively and professionally and provide exceptional service, internally and externally, at all times. Highly organized, able to prioritize workflow and manage projects. Ability to perform effectively with little or no supervision and within established time limits and on-going deadlines. Ability to deliver superior service to all internal and external customers and communicate effectively. Ability to interact in a professional and courteous manner with clients and employees at all times; professional appearance required. Ability to work collaboratively within a team; ability and willingness to adapt to changing business demands. Ability to produce acceptable amount of work efficiently and accurately; ability to produce quality final work product.
