Part-time Attorney Duties: Work with closely held businesses and their owners on transactional matters including: Creating partnerships through operating agreements, shareholders agreements and strategic relationships. Adding partners/co-owners to existing business entities. Resolving partner disputes. Forming business entities. Creating, managing and maintaining franchise systems. Buying and selling businesses through asset sales, equity transactions (stock and membership sales) and mergers. Preparing and reviewing commercial contracts and leases. Structuring and documenting private placement equity securities transactions. The candidate will: Be a quick learner, Be a member in good standing of the Florida Bar for 3+ years, Be proficient in the Microsoft Office suite of products, Be attentive to detail, and Have the ability to write well and communicate legal concepts in lay terms over the telephone and face-to-face. Pluses for consideration include: Having experience writing complex corporate and commercial documents, An understanding of corporate and business transactions, 3+ years in corporate transactional law, Being proficient with Clio or Lexicata, Being passionate about business and entrepreneurship, and Having experience with Internet based marketing. Schedule: 16 and 20 hours per week (e.g., 10 am to 2 pm five days a week).
