Corporate Paralegal The candidate will be responsible for routine entity formation and entity restructuring documents and filings, preparation and review of UCC financing statements and related documents, and due diligence review and summary, especially as they relate to mergers and acquisitions and debt and equity financings. Must be a mid-level corporate transactional paralegal having 3-5 years of experience in drafting, revising and reviewing all types of basic entity documents, and also some experience in, and the ability and desire to learn, mergers and acquisitions and basic filings under state and federal securities laws. Should preferably also have an understanding of the time commitment necessary to servicing transactional clients in a high-volume deal environment.
