The mid-size Orange County office of this vigorous firm specializes in real estate acquisitions and dispositions, real estate finance, land use and eminent domain law, and commercial leasing. The firm boasts an extremely dynamic group of attorneys; the firm’s partnership is both young (most are in their 30’s and 40’s) and talented. Associates are treated very well and people are generally quite happy working here (A recent candidate offered to give one of our recruiters a Harley-Davidson after he received an offer). Retention is incredibly high; in fact, approximately two-thirds of the associates who joined the firm in the last five years are still at the firm. Despite the firm’s size, salaries are only slightly (5-10%) below market.
Transactional Paralegal Duties: Entity Formation/modification/merger/conversion/cancellation - formation of limited liability companies and corporations, including Subchapter's corporations, C corporations, and nonprofit corporations. Entity formation includes the preparation of single-member, limited liability company agreements with SPE provisions. Entity modification includes the preparation and filing of amendments, merger documents, conversion documents, and cancellation documents, including authorization required for such transaction. Secured Financing Transactions: for borrower or guarantor, preparation of authorization documents and entity certificates required by lenders in connection with consummating loan transactions for either new financing or loan modification, including preparation of due diligence documents and certificates required for a firm to issue applicable legal opinions. Prepare documentation to appoint an independent manager(s) for LLC borrowers. Purchase and Sale Transactions: for buyers or sellers of real property, or personal property, including purchase or sale of membership interests or closely-held stock, prepare minutes or written consents required to authorize the transaction. Prepare documents to convey assets sold or transferred. Update Entity Documentation: prepare minutes or written consents required to update records, including the election of directors or officers, and file a Statement of Information with the California Secretary of State. UCC/Bankruptcy/Litigation searches: order applicable searches, review, and analysis of search results. Qualifications: The candidate should preferably have a Bachelor's Degree or a Paralegal Certificate from an ABA-approved training program. 3+ years of legal work experience. Proficiency in Microsoft Office. Typing speed of 50 wpm. Accuracy in grammar, spelling, and punctuation. Excellent interpersonal and communication skills.
