Business and Transactions Paralegal Candidate will assist with corporation and LLC formation, governance, reorganization and entity maintenance, business purchase and sale ( M&A ) transactions, preparation of closing checklists and closing binders, drafting of business entity formation documents (such as Articles of Organization, Articles of Incorporation, Operating Agreements, and Bylaws), resolutions, minutes, consents, contracts, and other legal documents relating to business entity formation, maintenance, and other business transactions, and document management in business and transaction law. Qualifications: Bachelor's degree preferred. Paralegal certificate preferred. 2+ years of experience as a paralegal required. Corporate and other business transactional law experience preferred. Ability to: Anticipate attorneys reasonable needs; handle changing priorities; read and comprehend instructions, correspondence, and memos; write routine and non-routine reports, correspondence with clients, and memos; conform writing to prescribed style format; maintain confidentiality of all confidential information; effectively present information in one-on-one situations (e.g. callers) in a professional and friendly manner; establish priorities and meet deadlines; work with various personalities and levels of hierarchy in a firm setting; perform basic mathematical functions with calculator and knowledge of Microsoft Excel; work with governmental agencies such as the Arizona Corporation Commission; gather, organize, analyze, and research information and documents; work on multiple projects with limited supervision and make decisions in accordance with established policies, procedures, and deadlines. Strong attention to detail and well organized (work requires continual attention to detail in composing, typing and proofing materials). Correct grammar skills (correct spelling, use of words, and sentence structure). Sound judgment skills. Strong analytical and problem-solving ability. Multitasking skills. High level of interpersonal skills to handle sensitive and confidential situations A"demonstrated poise, tact and diplomacy. Excellent client service skills. Team oriented but able to work independently. Willingness to learn to take on more advanced level tasks, including preparing first draft of documents and editing drafts. Takes initiative/self-starter. Timeliness. Proficiency in Microsoft environment with Office Suite and Adobe Acrobat Professional, which includes formatting, editing, and production of documents. Familiarity with case management systems or willingness to be trained in any new applications or case management system. Familiarity with AIM/PerfectLaw and PowerPoint preferred. Sound judgment skills, ability to effectively multitask, handle changing priorities in an interesting and very fast-paced environment, and be able to work on multiple projects with limited supervision.
