Corporate Paralegal Candidate will be responsible for assisting our lawyers and clients with a wide range of business transactions and general corporate matters. Will support document drafting, prepare filings, organize transaction materials, and maintain business entities. Will be responsible for a variety of administrative matters within the business department, including occasional training sessions. Transactions - Document preparation and filing: All aspects of new business formations (corporations, limited liability companies, business trusts, limited partnerships, etc.), Foreign qualifications, Secretary certificates and exhibits, Closing deliverables, Lien, tax and litigation searches, UCC document preparation and filing, Closing binders, Blue Sky filings and securities law filings, Public company filings. General Corporate and Corporate Maintenance: Statutory filings (charter amendments, mergers, conversions, dissolutions., withdrawals, etc.), Annual meeting preparation, Annual consents, Annual reports, Option exercises, Stock issuances and transfers, Minute books and stock records. Qualifications: Bachelor's degree and/or a Paralegal Certificate. 5+ years corporate paralegal experience within a law firm. Expert utilization of available technology. Team player; able to interact and communicate effectively with all levels of our staff and clients. Excellent writing skills. Highly developed organization skills. Ability to work independently and effectively, as well as meet deadlines in a fast-paced environment. Should have a strong knowledge of the corporate and transactional practice areas generally.
