Corporate Paralegal The candidate will assist attorneys in all stages of corporate transactions and with the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities. UCC Searches - formal and informal. Obtain Certificates of Good Standing and copies of filed Articles, Amendments, and similar documents from State Business Offices. Draft form documents related to entity formation and governance. Prepare corporate transaction Exhibits; compare and contrast exhibits and identify discrepancies for follow-up. Prepare Closing Binders. Understand payment procedures for filings and registered agent services. Work directly with attorneys and clients during closings and corporate transactions. Conduct research utilizing external court or agency websites to retrieve factual information for a case or transaction. Prioritize a high volume of time-sensitive projects, with the ability to multi-task, maintain attention to detail, and work well under pressure. The candidate should preferably have a Bachelor's degree with ABA paralegal certification or Associates's/Bachelor's degree in Paralegal studies. Should preferably have 3 years of experience in a corporate or other transactional practice. Must be proficient in Microsoft Office. Must have proficiency in working with CT Corporation, Capitol Services, and other registered agent entities and State Business Offices (normally Secretary of States) to form, maintain and dissolve entities, file necessary paperwork, and file/amend/terminate Uniform Commercial Code filings. Must have excellent oral and written communication skills with accuracy, attention to detail, and good organizational skills. Must have the ability to work under pressure in a fast-paced environment. Strong time-management skills and the ability to multi-task are needed. Should also have a strong client service focus and the ability to work effectively in a team environment. Should have self-motivation and the ability to work with minimal supervision.
