Corporate Paralegal Duties: Coordinate SEC filings for public and private offerings, including preparation and filing of documents (under attorney supervision); communicate with securities examiners and participation in the resolution of issues. Prepare exchange listing and notification applications (NYSE, Nasdaq, OTC). Beneficial ownership reporting (Schedule 13D/13G). Obtain CUSIP identification numbers. Assist with preparation of SEC and state company compliance requirements and forms; work with printers and coordinate filings with SEC. Prepare a preliminary draft of operative documents relating to offerings. Prepare drafts of various agreements, closing checklists, certificates, and closing documents. Prepare corporate organizational and operational documents; keep accurate lists and reminders for annual corporate maintenance; maintain minute books and corporate records; issue stock certificates and maintain stock records. Perform research and analysis relating to securities, blue sky, and corporate laws. Order due to diligence searches and summarize results; complete UCC and other lien and lien termination filings as necessary. Prepare incorporation/formation documents and coordinate with corporate filing agents. Prepare board resolutions and shareholder consent. Prepare and file Form D with the SEC and state securities regulatory authorities, including electronic filings made through the EFD filing system. Review subscription materials for private offering investors. Prepare and maintain capitalization schedules. May be requested to perform other duties not mentioned above. Qualifications: Bachelor's degree or completion of a paralegal program. Experience as a paralegal in the corporate area and/or similar work experience. Deep understanding and knowledge of the corporate procedures including corporate maintenance, minute books and stock records, document analysis, legal concepts and strategies, factual and legal research, and preparation of drafts of original closing documents and materials and responses to comments from state agencies relating to filings. Ability to recognize and respond to problem areas with corporate maintenance and minute books. Excellent oral and written communication skills. Excellent attention to detail and organizational skills. Ability to work overtime and have flexibility in hours to support offices in different time zones. Proven analytical ability on complex issues and ability to proactively resolve issues or present solutions. Ability to set priorities and exercise independent judgment. Proficiency in MS Word, Excel, and Adobe Acrobat. Knowledge of ethical boundaries of position and when to consult with an attorney.
