Real Estate Paralegal Duties: Provide paralegal services for the Business Department. When available, provide paralegal services for any Firm legal or administrative department, as needed. Conduct title searches in records office or order title search and updates. Draft, review and plat legal descriptions; review land surveys, parcel maps and plats. Perform pre-closing tasks: Coordinate closing of escrow with all parties; Obtain closing figures and preparation of HUD1; Draft escrow instructions. Prepare Release of Mortgages. Review abstract of title and prepare draft opinion on the title. Coordinate with Title Company and clear title. Prepare and update closing checklists.. Review due diligence documentation.. Review title commitments, pro-formas and title exception documents.. Review surveys and surveyor certifications.. Prepare title and survey comments and coordinate with title company and surveyor.. Prepare correspondence to clients, service contractors, counsel (borrowers, lenders, sellers), state agencies and departments regarding open issues.. Order and review searches (pending suits, judgments, tax liens and UCCs).. Prepare UCC financing statements and collateral descriptions.. Prepare Closing Instruction Letters.. Coordinate signature packages (if there is not a formal Closing).. Organize closing documents in files for Closing.. Attend and coordinate document signing at sit-down Closing.. Prepare and distribute closing documents and closing binders.. Review final title policies and coordinate with title companies to correct all title policy issues.. Prepare and file appropriate documents with the Secretary of State, Department of Corporations, Internal Revenue Service and/or the Franchise Tax Board. Prepare minute book, corporate seal, stock certificates, stock ledger, etc.. Obtain information and file documentation necessary to qualify corporation to transact business in foreign states. Conduct due diligence review. Draft and file necessary lien documents including UCC-1s and UCC Amendments. Attend closing. Communicate with clients and outside counsel about closing issues. Locate sample agreements and forms.. Prepare and maintain corporate Minute Books. Determine registered agent for business entities.. Draft documents for various bond structures.. Prepare all ancillary transaction documents.. Review business entity resolutions and formation documents for language and factual information in connection with Public Finance (Bond) closings.. Attend Public Finance (Bond) closings and overseeing closing document execution process. Manage post-closing examination of title commitments and identification of title objections.. Prepare Fannie Mae documents.. Prepare DC Bond Applications. File Semi-annual lobbyist reports with DC government. Prepare rate-cap documentation. Prepare and circulate Fannie Mae Extension Letters. Zoning letter requests. Pull and file deeds and other official documents. Adheres to The National Federation of Paralegal Association's Model Code of Ethics and Professional Responsibility and the National Association of Legal Assistants Code of Ethics and Professional Responsibility. . Maintains Firm's confidentiality.. Accepts accountability and responsibility for all work assignments.. Manages work efficiently.. Follows all attorney instructions.. Uses all Firm office equipment and other resources skillfully and appropriately.. Follows all Firm policies as outlined in the Staff Manual. . Demonstrates tact when dealing with clients, co-counsel, attorneys, and all other employees of Arent Fox.Cooperates with all co-workers, and works as a member of a team.. Keeps supervisors adequately informed of the status of assigned projects. Accurately and appropriately records time each workday. Meets all time entry and timesheet deadlines as requested by the Paralegal Department or Accounting. Bills a minimum of 1,536 billable hours of which no more than 120 total hours are approved pro bono hours or approved firm representation hours. Works a predictable schedule. Notifies Attorneys, the Director of Legal Support Services, and NY Administration of any scheduled time out of the office during normal work hours, per the Paralegal Department's and NY Office's official policy. Notifies NY Reception (who will then notify relevant parties) of any unscheduled time out of the office during normal work hours per the Paralegal Department's and NY Office's official policy. Reports the receipt of a requested assignment of any irregular non-billable work by an attorney to the Director of Legal Support Services upon receipt. Gains approval in advance to work overtime for non-billable projects from the Director of Legal Support Services. Immediately contacts supervising attorneys and Director of Legal Support Services when available for new work. Qualifications: 4-year college degree and a paralegal certificate from an ABA qualified program preferred. 4-year college degree, or a 2-year associates degree and a paralegal certificate from an ABA qualified program, acceptable. 4+ years of real estate/finance experience required. Advanced proficiency using MS Word, MS Excel, and the Internet. Ability to accurately interpret a variety of instructions furnished in written or oral form. Demonstrates attention to detail with attention to accuracy and thoroughness. Ability to synthesize complex and diverse information. Writes clearly and informatively; Edits work for spelling and grammar; Varies writing style to meet needs; Able to read and interpret written information.
