Paralegal Tier III - Bankruptcy The candidate will maintain positive contact with attorneys (both the firm's and outside counsel), support staff, clients, and vendors. Observe confidentiality of client and firm matters. Should have experience in drafting basic filings for bankruptcy court. Experience in drafting basic bankruptcy schedules and claims. Experience drafting basic conveyance documents. Experience with UCC searches and review of other similar public records. Experience with the formation of corporations, limited liability companies, and limited partnerships, including preparation of formation documents, bylaws, organizational minutes, and obtaining EINs. Experience in Corporate Due Diligence. Experience with the preparation and filing of corporate filings and UCC financing statements. Experience in preparing documents in connection with transactional closings such as secretary and officer certificates, closing agenda, obtaining good standing certificates and certified charter documents. Experience with obtaining lien and judgement searches, helping to determine proper location for searches and summarizing search results as needed. Experience in analyzing due diligence documents for acquisition and real estate finance transactions. Experience in organizing and assisting with closings including review of settlement statements. Experience in dealing with multi-state loan/acquisition transactions. Experience with preparing subpoenas and deposition notices and set up. Familiarity with database and litigation software packages, i.e., Excel, Relativity, Case Notebook, a plus. Familiarity with E-filings in various federal and local state courts. Familiarity with cite checking and blue booking is a plus. Knowledge of bankruptcy proceedings. Knowledge of Federal and Local State Civil Procedure Rules. Excellent writing and proofreading skills. Excellent organizational skills re: case and/or project management. Ability to review pleadings to track the status of cases and determine and calendar deadlines. Ability to assist attorneys with trial and/or arbitration preparation and attend trials and/or arbitrations.
