Corporate Paralegal The candidate will be join team of highly efficient and effective attorneys and staff. Prepare documents to form and maintain corporations and LLCs in Washington and Delaware. Assist client and attorneys with all corporate filings. Create and maintain corporate minute books and attend to ongoing corporate needs. Assist attorneys in the preparation of documentation for corporate transactions. Oversee shareholder mailings and tracking of votes. Maintain and update on a regular basis accurate stock ledger, note ledger and capitalization tables. Respond to due diligence requests. Prepare, track and follow up on closing checklists; gather closing documents; and prepare closing notebook. Prepare/conduct UCC Filings/Searches. Working knowledge of the corporate formation process. Ability to interact professionally and effectively with clients, attorneys, staff and all levels of firm personnel. Ability to anticipate problems and focus on appropriate solutions while incorporating differing viewpoints. Must be flexible and able to work under tight deadlines. Excellent verbal, written, organizational and interpersonal skills. Strong time management and calendaring skills. Demonstrate ongoing attention to detail, responsiveness and accountability. Intermediate knowledge of MS Word, Excel, Outlook and PowerPoint. Knowledge of Carta is preferred.
