Corporate Paralegal The candidate will form LLCs and partnerships, including the drafting of Certificates of Formation, Governing Agreements, and Resolutions. Form Corporations, including the drafting of Bylaws, Certificates of Incorporation, Board and Shareholder Consents, Subscription Agreements, Stock Certificates, and Closing Checklists. Form Nonprofit Entities, including the corporate formation and charitable registration. Prepare and maintain Corporate Books, annual reports, and annual minutes. Assist with the preparation of financing/restructuring deals, and prepare notes and liens. Prepare UCC financing statement filings, amendments, and terminations. Prepare, distribute and file annual reports and renewals. Complete Forms SS-4 and obtain employer and tax identification numbers (EINs). Proofread, convert, format, and edit all types of contracts and leases. Prepare and file (my mail and electronically) Statutory Warranty Deeds, Bargain-Sale Deeds, Quit Claim Deeds, and REETAs in multiple states. Maintain entity database. Prepare draft correspondence with state and federal agencies. Assist clients with the execution of documents (electronically and in-person). Maintain positive contact with attorneys and paralegals, and observes confidentiality of client matters. Keep accurate time records. Should preferably have 2+ years of legal experience. Should have the ability to manage multiple projects, activities, and tasks simultaneously. Should have a high level of organizational skills. Should have highly developed verbal and written communications. Should have excellent time management skills.
